These Terms of Service ("Terms") govern your access to and use of Agency OS, operated by Licensing Unlimited LLC ("we," "us," or "our"), a Maryland limited liability company. By accessing or using the Service, you agree to be bound by these Terms.
Agency OS is a software-as-a-service platform that provides marketing agencies with tools for content generation, financial analytics, advertising and analytics performance reporting, rate calculation, and related agency management functions. The Service is available at aos.agencythinktank.com.
You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization. By using the Service, you represent that you meet these requirements.
You are responsible for maintaining the security of your account credentials. You must notify us immediately of any unauthorized access to your account. We are not liable for any loss resulting from unauthorized use of your account. You may not share your account credentials with others or allow multiple individuals to access the Service through a single account.

The Service integrates with third-party platforms including QuickBooks, Xero, Slack, Shopify, Stripe, Google Ads, Google Analytics, Meta (Facebook/Instagram), and social media platforms. You may only connect accounts you are authorized to access, and your use of these integrations is subject to the respective terms and developer policies of those platforms. We are not responsible for the availability, accuracy, or actions of third-party services.
The Service uses artificial intelligence to generate content suggestions. You are solely responsible for reviewing, editing, and approving any AI-generated content before publishing or distributing it. We make no guarantees about the accuracy, appropriateness, or fitness of AI-generated content for any particular purpose. You retain ownership of content you create using the Service.
Financial analytics and insights provided through the Service are for informational purposes only and do not constitute financial, accounting, or legal advice. You should consult qualified professionals before making financial decisions based on data displayed in the Service.
Access to certain features requires a paid subscription. Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days' notice. Failure to pay may result in suspension or termination of your account.
The Service, including its design, code, and features, is owned by Licensing Unlimited LLC and protected by intellectual property laws. You retain ownership of your data and content. You grant us a limited license to process your data solely to provide the Service.
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service, and to use such information only as necessary to fulfill obligations under these Terms.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSING UNLIMITED LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold harmless Licensing Unlimited LLC and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
Either party may terminate the Service relationship at any time. We may suspend or terminate your access immediately if you violate these Terms. Upon termination, your right to use the Service ceases and we will delete your data within 30 days, except where retention is required by law.
These Terms are governed by the laws of the State of Maryland, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Maryland.
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice within the Service at least 14 days before the changes take effect. Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
